D&O Insurance for Nonprofits: Protecting Your Board and Your Mission

Nonprofit organizations depend on their boards to make decisions that keep the organization moving forward. From overseeing finances and approving budgets to hiring leadership and setting long-term strategy, board members carry significant responsibilities.

However, with that responsibility comes exposure. Even when directors and officers act in the best interests of the organization, their decisions can sometimes lead to allegations that they failed to fulfill their duties.

For nonprofits, directors and officers (D&O) insurance can provide an important layer of protection for both the people leading the organization and, depending on the policy, the nonprofit itself.

Why Is Board Service a Liability Risk?

Nonprofit board members often serve because they believe in the organization’s mission, not because they expect to face legal disputes. However, making decisions on behalf of an organization can create liability exposures.

For example, a board may have to make difficult decisions about:

  • How the nonprofit spends its funds
  • Whether to hire or terminate an executive
  • Which programs to continue or eliminate
  • How to respond to financial challenges

Even an executive hiring or termination decision could result in allegations against the organization or its leadership.

Does D&O Insurance Cover the Nonprofit, Too?

Depending on the policy, nonprofit D&O coverage may extend beyond individual directors and officers to the organization itself.

Nonprofit bylaws often contain indemnification provisions designed to protect board members from certain liabilities related to their service. While these provisions can be important, they shouldn’t necessarily be viewed as a replacement for insurance.

Indemnification ultimately depends on the organization’s ability and obligation to provide that protection. If a nonprofit is experiencing financial difficulties, using organizational funds to defend a board member could put additional strain on an already limited budget.

D&O insurance can provide another layer of protection and help a nonprofit avoid having a single claim create a significant financial burden for the organization.

Protecting a nonprofit requires more than protecting its board. The organization may also have exposures involving its property, employees, volunteers, technology, events, vehicles, and day-to-day operations.

Depending on the nonprofit’s activities, a comprehensive insurance program may include:

  • General liability insurance
  • Property insurance
  • Workers’ compensation
  • Cyber liability insurance
  • Employment practices liability insurance
  • Directors and officers insurance
  • Other specialized coverage based on the organization’s operations

Each policy addresses different exposures, which is why reviewing the nonprofit’s entire insurance program is important.
